US Apostilles for Zug Crypto Valley: Foundations, AG/GmbH Formation, and the SRO vs. FINMA Question

4 min read

Most crypto companies setting up in Zug never actually need a FINMA license. What they need is membership in a self-regulatory organization, most commonly VQF, which fulfills Switzerland's anti-money-laundering compliance obligation under AMLA and is explicitly not the same thing as a FINMA authorization. Full direct FINMA licensing only gets triggered by specific higher-risk activities, holding client assets with genuine custody control, taking public deposits, trading tokenized securities, issuing a stablecoin with public redemption rights, or running collective crypto investment management. Most exchanges, brokers, custodial wallet providers, and payment services fall under the lighter SRO path instead. Getting this distinction right shapes your entire document and compliance timeline, so it's worth settling before assuming your project needs the heavier track.

Here's how Zug's corporate formation and compliance filings actually work, and what U.S. founders, officers, and parent companies need authenticated for each piece.

SRO Membership or Direct FINMA Authorization: Different Tracks, Different Timelines

Switzerland doesn't have a standalone crypto license. It regulates crypto activity through existing financial market law, so which authorization applies follows from what your business actually does. If you're a financial intermediary, exchange, broker, custodial wallet, or payment service, SRO membership under the Anti-Money Laundering Act is the standard route, and VQF is the most common self-regulatory organization crypto companies in Zug join. This is meaningfully faster and lighter than full FINMA authorization, though "fast" here still means a real application with genuine scrutiny, not a formality.

Cross into holding client assets in a way that creates a deposit claim, or issuing or trading tokens that function as securities, and you're in FINMA licensing territory instead, a heavier, longer process. Confirm which track your specific business model actually falls under before building your compliance and document timeline around the wrong one.

Worth watching: Switzerland proposed new categories in October 2025, Payment Instrument Institutions for stablecoin issuers and Crypto-Institutions for custody and trading, expected to take effect in late 2026 or early 2027. Once in force, SRO membership is expected to remain available only for smaller, non-custodial intermediaries, meaning some businesses currently eligible for the lighter SRO path may eventually need to move to a dedicated licensing category. Confirm current status if your timeline extends into that window.

Entity Choice: GmbH, AG, or a Stiftung

A GmbH requires a minimum of CHF 20,000 in share capital, and an AG requires CHF 100,000, both requiring a physical Swiss office and at least one Switzerland-resident director. Neither figure has moved recently, but the substance requirements around them have tightened; shell company structures are no longer accepted, and genuine local presence, a real director, a real AML officer, a real office, is expected regardless of which entity you choose.

For non-profit protocol foundations, following the model used by Ethereum and similar projects, Swiss foundation law allows forming a Stiftung, supervised by the cantonal foundation authority, Stiftungsaufsicht Zug, or by federal supervisory authorities where the foundation reaches national significance.

The Power of Attorney for Remote Formation

U.S. founders rarely travel to Switzerland just to sign initial formation deeds. A notarized, apostilled power of attorney lets a Swiss notary or representative execute the incorporation on your behalf, following the same rule as every power of attorney covered on this site: a U.S. notary witnesses your signature, and the apostille is issued by the Secretary of State of the state where that notarization actually took place. Name the specific entity type and formation act, GmbH, AG, or Stiftung, rather than granting broad general authority.

FBI Background Checks for the Fit-and-Proper Standard

Whether your path runs through SRO membership or full FINMA authorization, every ultimate beneficial owner, board member, and executive officer generally needs to demonstrate impeccable reputation, and for U.S. individuals that means an FBI Identity History Summary. This is a federal document, authenticated at the federal level by the U.S. Department of State, not any state Secretary of State, the same routing rule that governs this document throughout every country covered on this site. A typical crypto founding team involves several people crossing this threshold at once, founders, key investors, and the designated AML officer, so plan for multiple checks moving through the federal pipeline together rather than one at a time.

US Parent Company Documents for the Handelsregister

Where a U.S. entity, a Delaware C-Corp or LLC, is establishing a Swiss subsidiary or backing a foundation, the Commercial Register, the Handelsregister, requires the parent's Certificate of Good Standing and Articles of Incorporation, apostilled directly by the state that issued them. A board resolution authorizing the Swiss formation is a private document rather than a direct government record, so it requires notarization first, with the apostille issued by the state where that notarization occurred.

Diplomas for the Specialist Work Permit Quota

If you're relocating non-EU/EFTA blockchain engineers or executives to Zug, Switzerland's annual quota system for third-country nationals applies, covered in more depth in our dedicated Zurich work permit guide. University diplomas and transcripts supporting a specialist work permit application are private institutional records rather than direct government documents, so they need registrar certification and notarization before a state apostille can attach to them.

Where Zug Crypto Filings Fail

  • Assuming every crypto business needs a full FINMA license, when most fall under the lighter SRO membership route instead

  • Building a compliance timeline around the wrong track, SRO versus direct FINMA authorization, based on the actual business activity

  • Structuring around a shell company, when genuine substance, a resident director, a local AML officer, a real office, is now expected

  • FBI reports for UBOs or officers sent to a state office, which cannot authenticate a federal document

  • A power of attorney with vague authority rather than one naming the specific entity type and formation act

  • State-issued parent company documents sent to the wrong state, or private governance documents authenticated in the state of incorporation instead of the state of actual notarization

  • Submitting a diploma without required registrar certification and notarization before authentication

While https://argentreelcasino.com was still open in another tab, the SRO vs. FINMA distinction hit home because even a crypto-friendly casino operator would need to know whether holding player funds triggers direct licensing. That's a nuance most guides gloss over, and it's exactly the kind of thing that shapes your whole timeline before you file a single document.
