US Corporate and FBI Apostille Guide for Lithuania Crypto Licensing: VASP Is Legacy, CASP Is the Only Path Forward

If your Lithuania crypto strategy is built around VASP registration, the fast, cheap route that made Lithuania one of Europe's most accessible crypto jurisdictions starting in 2021, that route is closed to new entrants. Under the EU's Markets in Crypto-Assets Regulation, MiCA, the VASP registration regime has been fully replaced by CASP licensing, authorized and supervised by the Bank of Lithuania rather than the Financial Crime Investigation Service that used to run the old system. FCIS hasn't disappeared, but its role has narrowed to AML and fit-and-proper background checks within the CASP process, not primary licensing authority. Get this distinction right before structuring anything, since a filing strategy built around legacy VASP assumptions doesn't map cleanly onto what Bank of Lithuania actually reviews now.

Here's the current regulatory picture, and what U.S. founders, directors, and parent companies actually need authenticated for a CASP application.

The Transition Deadline Has a Genuine Discrepancy Worth Confirming

Lithuania-specific sources describe the final transition deadline for existing VASPs as January 1, 2026. MiCA's own transitional provision, Article 143(3), sets the outer limit for national grandfathering across the entire EU at no later than July 1, 2026. Whether Lithuania's earlier national deadline or the EU-wide backstop actually governs your specific timeline is worth confirming directly with Bank of Lithuania or your Lithuanian counsel rather than assuming either date applies, since this is exactly the kind of detail where guidance has shifted as the regulatory transition has played out and different sources reflect different points in that process. What's consistent across every source: operating past whatever your applicable deadline is without CASP authorization is illegal, and transition-period VASPs cannot passport services across the EU or offer customers the protections that come with full licensing.

The Substance Requirements Are Real Now

The old VASP model tolerated what amounted to shell company registrations. CASP licensing doesn't. Current guidance describes genuine substance requirements, at least one Lithuania-resident director, an actual office, and a fit-and-proper Money Laundering Reporting Officer, not a nominal structure. Capital requirements scale with your service class under MiCA's own framework, generally €50,000, €125,000, or €150,000 depending on what you're licensed to do. This matters for document planning because it means a thinner, more paperwork-light structure that might have worked for VASP registration likely won't satisfy CASP review, and the corporate documents you're authenticating need to support a genuinely substantive Lithuanian entity, not a formality.

The Power of Attorney for Remote UAB Formation

Most U.S. founders incorporate their Lithuanian entity, a UAB, without traveling, through a power of attorney authorizing local counsel to sign formation documents before a Lithuanian notary. This follows the same notarize-then-apostille sequence as every power of attorney covered on this site: a U.S. notary witnesses your signature, and the apostille is issued by the Secretary of State of the state where that notarization actually took place, not necessarily your state of residence. Name the specific formation and the specific authority granted, since vague general language draws more scrutiny than a document scoped precisely to the transaction.

FBI Background Checks for UBOs, Directors, and the MLRO

CASP's fit-and-proper standard requires every ultimate beneficial owner, director, and the Money Laundering Reporting Officer to demonstrate what regulatory guidance calls impeccable reputation, and for U.S. individuals in these roles, that means an FBI Identity History Summary. This is a federal document, authenticated at the federal level by the U.S. Department of State, not any state Secretary of State, the same routing rule that governs this document throughout every country covered on this site. Given how many individuals a typical crypto founding team involves, founders, co-founders, key investors crossing UBO thresholds, and the designated MLRO, plan for multiple FBI checks moving through the federal pipeline simultaneously rather than one at a time.

US Parent Company Documents for the Lithuanian Business Register

Where a U.S. entity, a Delaware LLC or C-Corp, acts as the parent shareholder of the Lithuanian UAB, Registrų centras, the Business Register, requires the parent's Certificate of Good Standing and Articles of Incorporation or Organization, apostilled directly by the state that issued them. An operating agreement or similar governance document, being a private document rather than a direct government record, requires notarization first, with the apostille issued by the state where that notarization occurred.

Where Lithuania Crypto Licensing Documents Fail

  • Structuring the application around legacy VASP assumptions, when new entrants must go through the full CASP process from the start

  • Assuming FCIS is the primary licensing authority, when Bank of Lithuania is the sole competent authority for CASP authorization

  • Missing which transition deadline actually applies, given the discrepancy between Lithuania's own stated timeline and MiCA's EU-wide backstop

  • Building a thin corporate structure that satisfied old VASP registration but doesn't meet CASP's genuine substance requirements

  • FBI reports for UBOs or directors sent to a state office, which cannot authenticate a federal document

  • A power of attorney with vague authority rather than one naming the specific formation and representative

  • State-issued parent company documents sent to the wrong state, or private governance documents authenticated in the state of incorporation instead of the state of actual notarization
